This Agreement governs use of the gooder-books software ("the Software"), a private internal tool developed and operated by Gooder Labs LLC ("the Company"). The Software is used only by the Company and its authorised personnel to manage the Company's own and its affiliates' accounting records in QuickBooks Online. It is not distributed, sold, or licensed to the public.
The Company grants its authorised personnel a limited, non-transferable, revocable right to run the Software internally for the Company's bookkeeping. No other rights are granted.
Authorised users must connect the Software only to QuickBooks companies they are permitted to administer, and must use it solely for legitimate bookkeeping. Users must not attempt to access data belonging to unaffiliated parties, and must not use the Software to alter records for any fraudulent purpose.
Use of the Software with QuickBooks Online is additionally subject to Intuit's applicable terms and
to the permissions granted by the connecting QuickBooks administrator. The Software accesses only the
accounting scope (com.intuit.quickbooks.accounting) and only the realms the operator
connects. Handling of accessed data is described in the accompanying Privacy Policy.
The Software is designed to be non-destructive: it proposes changes for review, requires explicit confirmation before writing, foots every batch before committing, records an audit trail of every change, and never deletes transactions (it reclassifies or voids only). Nonetheless, the operator is responsible for reviewing proposed changes before applying them.
The Software is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Accounting and tax outcomes remain the responsibility of the Company and its accountant.
To the maximum extent permitted by law, the Licensor is not liable for any indirect, incidental, or consequential damages arising from use of the Software. Because the Software is an internal tool used by its own maker, the operator assumes responsibility for its use.
Access may be revoked at any time by disconnecting the Software in QuickBooks Online and removing its local installation. These terms survive termination with respect to prior use.
This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
